What is enterprise reorganization? (Part 2)

The Law on Enterprise Reorganization and Bankruptcy entered into effect in June 2020. Last month, I initially presented readers about the enterprise reorganization, and today I will continue sharing some of the important principles of the enterprise reorganization in accordance with the law as follows:

3.         Who has standing to claim for enterprise reorganization or bankruptcy?

  1. The enterprise itself: the enterprise that is in the state of bankruptcy or being close to bankruptcy;
  2. Partners or Shareholders: of the enterprise that is in the state of bankruptcy or being close to bankruptcy representing at least 20% of total shares entitled to vote in case that the enterprise does not request for reorganization or bankruptcy itself;
  3. Members of union: including at least one fifth of all members requesting for reorganization or bankruptcy in case such union encounters financial difficulties or fails to repay its debts.

            1. Which enterprises are considered in the state of bankruptcy or being close to bankruptcy?

An enterprise that is in the state of bankruptcy refers to the enterprise which encounters financial difficulties or is insolvent and is unable to repay its debts when due. For example, Hotel A faced problems due to the COVID-19 pandemic and there has been no guest for several months, causing the hotel to be insolvent and the hotel has to repay its debts such as debt to a bank but the hotel is unable to repay; equipment or item cost procured for the purpose of running the hotel business; or salary and other debts that the hotel fails to repay. In this case, in order for the hotel to continue its business or recover, the Hotel A may request for reorganization with a competent court.

An enterprise that is in the state of being close to bankruptcy refers to the enterprise which does not yet enter into bankruptcy but it faces the financial difficulties, is unable to repay its debts and may enter into bankruptcy in the near future. For example, the Enterprise B operates a passenger transport business but it encounters financial difficulties due to the COVID-19 pandemic, and is able to repay its debts to a bank for a few months. If the business cannot operate as normal, the Enterprise B may reach the position where it cannot repay its debts.

Which enterprise does this article refer to? It is an enterprise duly registered with the Enterprise Registry Official, having its enterprise registration certificate in accordance with the Law on Enterprise such as: a partnership enterprise, a limited partnership, limited and public company which does not depend on the size of the enterprise (including small-sized and micro enterprise) (to be continued).
