ກົດໝາຍວ່າດ້ວຍການຟື້ນຟູ ແລະ ລົ້ມລະລາຍຂອງວິສາຫະກິດມີຜົນສັກສິດແຕ່ເດືອນມິຖຸນາ 2020. ມື້ນີ້ ຂ້າພະເຈົ້າຂໍແລກປ່ຽນບາງພື້ນຖານທີ່ສຳຄັນຂອງກ່ຽວກັບການຟື້ນຟູວິສາຫະກິດຕາມກົດໝາຍດັ່ງກ່າວ ຄື:

1. ການຟື້ນຟູວິສາຫະກິດ ແມ່ນຫຍັງ? ການຟື້ນຟູວິສາຫະກິດ ແມ່ນການແກ້ໄຂບັນຫາຂອງວິສາຫະກິດ ທີ່ປະສົບຄວາມຫຍຸ້ງຍາກທາງດ້ານການເງິນ ຊຶ່ງບໍ່ສາມາດຊຳລະໜີ້ສິນໄດ້ຂອງຕົນໄດ້. ຕົວຢ່າງ: ບໍລິສັດບໍລິການຈັດງານປະຊາສຳພັນແຫ່ງໜຶ່ງປະສົບຄວາມຫຍຸ້ງຍາກຈາກການຂາດສະພາບຄ່ອງຂອງທາງດ້ານການເງິນຢ່າງໜັກໜ່ວງ ຍ້ອນສະພາບການລະບາດຂອງພະຍາດປອດອັກເສບໂຄວິດ-19 ຊຶ່ງເຮັດໃຫ້ມີຜົນກະທົບຕໍ່ການດໍາເນີນທຸລະກິດຂອງບໍລິສັດ, ລູກຄ້າຂອງບໍລິສັດຍົກເລີກ ງານປະຊາສຳພັນສິນຄ້າ, ບໍລິສັດຕ້ອງໄດ້ຊໍາລະເງິນກູ້ຢືມຈາກທະນາຄານ, ບໍລິສັດຕ້ອງແບກຫາບເງິນເດືອນກຳມະກອນ ແລະ ພະນັກງານບໍລິສັດ ແລະ ອືື່ນໆ ນີ້ເປັນສະພາບຄວາມຫຍຸ້ງຍາກທາງດ້ານການເງິນ ຊຶ່ງບໍລິສັດ ກຳລັງປະສົບບັນຫາ ແລະ ເຫັນວ່າຕົນເອງອາດຈະຕົກຢູ່ໃນ “ວິສາຫະກິດທີ່ໃກ້ຈະຢູ່ໃນສະພາວະລົ້ມລະລາຍ”.

ວິສາຫະກິດທີ່ໃກ້ຈະຢູ່ໃນສະພາວະລົ້ມລະລາຍ ແມ່ນສະພາບທີ່ວິສາຫະກິດຍັງບໍ່ທັນຢູ່ໃນສະພາວະລົ້ມລະ ລາຍ ແຕ່ວິສາຫະກິດດັ່ງກ່າວຮູ້ວ່າຕົ້ນມີຄວາມຫຍຸ້ງຍາກທາງດ້ານເງິນ ຈະບໍ່ສາມາດໃຊ້ແທນໜີ້ສິນໄດ້ ແລະ ອາດຈະລົ້ມລະລາຍໃນອະນາຄົດອັນໃກ້ໆນີ້.

ເມື່ອມີຄວາມຫຍຸ້ງຍາກທາງດ້ານການເງິນ ຫຼື ຢູ່ໃນສະພາບທີ່ໃກ້ຈະຢູ່ໃນສະພາວະລົ້ມລາຍລາຍດັ່ງກ່າວ ວິສາຫະກິດເອງ, ເຈົ້າໜີ້ຂອງວິສາຫະກິດ, ບັນດາກຳມະກອນ, ຫຼື ພະນັກງານ/ກຳມະກອນຂອງວິສາຫະກິດສາມາດຮ້ອງຂໍຕໍ່ສານໃຫ້ຟື້ນຟູວິສາຫະກິດດັ່ງກ່າວ.

2. ເປັນຫຍັງຈຶ່ງຕ້ອງຂໍຟື້ນຟູວິສາຫະກິດ? ການຟື້ນຟູວິສາຫະກິດຈະຊ່ວຍ: (1). ເຮັດໃຫ້ເຈົ້າຂອງກິດຈະການ ຫຼື ບໍລິສັດໃດໜຶ່ງໄດ້ສາມາດສືບຕໍ່ດຳເນີນທຸລະກິດຂອງຕົນໄດ້ຕາມ “ແຜນຟື້ນຟູວິສາຫະກິດ”, ຖ້າໄດ້ຮັບການອະນຸມັດຈາກບັນດາເຈົ້າໜີ້; ແລະ (2). ໄດ້ຮັບການປົກປ້ອງຊັບສິນຂອງຕົນຈາກການດຳເນີນການທາງດ້ານກົດໝາຍຂອງເຈົ້າໜີ້ ເພື່ອເຮັດໃຫ້ລູກໜີ້ໄດ້ສືບຕໍ່ດຳເນີນກິດຈະການຂອງຕົນຕາມແຜນຟື້ນຟູວິສາຫະກິດ, ຍົກເວັ້ນໃນກໍລະນີດັ່ງນີ້:

1. ຊັບສິນຂອງວິສາຫະກິດລູກໜີ້ທີ່ເປັນຫຼັກຊັບຄໍ້າປະກັນ ອາດມີການຫຼຸດມູນຄ່າ, ເປ່ເພ ຫຼື ເສຍຫາຍໃນໄລຍະຟື້ນຟູ. ຕົວຢ່າງ: ລູກໜີ້-ບໍລິສັດຮັບເໝົາກໍ່ສ້າງ ແລະ ຢູ່ໃນການຟື້ນຟູວິສາຫະກິດ, ຜ່ານມາອາດນຳໃຊ້ລົດຈົກດິນຂອງບໍລິສັດ ຄໍ້າປະກັນການກູ້ຢືມຈາກທະນາຄານ (ເຈົ້າໜີ້), ຊຶ່ງທະນາຄານເຫັນວ່າຖ້າສືບຕໍ່ນຳໃຊ້ລົດຈົກດິນນີ້ ອາດເຮັດໃຫ້ ມູນຄ່າຂອງລົດຈົກດິນຫຼຸດມູນຄ່າລົງ ອາດຈະສະເໜີຕໍ່ສານໃຫ້ພິຈາລະນາດຳເນີນການທາງດ້ານກົດໝາຍໃດໜຶ່ງ ເຊັ່ນວາງເງື່ອນໄຂໃໝ່ໃນການນຳໃຊ້ຊັບ ຫຼື ອື່ນໆຂຶ້ນກັບດຸນພິນິດຂອງສານ;

2. ຊັບສິນຂອງວິສາຫະກິດລູກໜີ້ທີ່ເປັນຫຼັກຊັບຄໍ້າປະກັນ ບໍ່ມີຄວາມສໍາຄັນ ແລະ ຈໍາເປັນຕໍ່ການຟື້ນຟູວິສາຫະກິດ. ຕົວຢ່າງ: ລູກໜີ້-ວິສາຫະກິດດຳເນີນທຸລະກິດຫຼາຍປະເພດ ແລະ ນຳໃຊ້ຊັບສິນຈາກທຸລະກິດໜຶ່ງໃນນັ້ນເປັນຊັບຄໍ້າປະກັນກັບເຈົ້າໜີ້ ແລະ ທີ່ເຈົ້າໜີ້ກໍເຫັນວ່າການດຳເນີນທຸລະກິດດັ່ງກ່າວບໍ່ຈຳເປັນກັບທຸລະກິດຕົ້ນຕໍ ເຊັ່ນ ຂາຍສິນຄ້າທີ່ບໍ່ກ່ຽວຂ້ອງກັບທຸລະກິດຕົ້ນຕໍ, ເຈົ້າໜີ້ອາດຈະສະເໜີໃຫ້ສານພິຈາລະນານຳໃຊ້ບາງມາດຕະການເພື່ອດຳເນີນການທາງກົດໝາຍກໍໄດ້ (ແຕ່ກໍຂຶ້ນກັບດຸນພິນິດຂອງສານ).

What is enterprise reorganization? (Section 1)

The Law on Enterprise Reorganization and Bankruptcy entered into effect in June 2020. Today, I would like to share some basic principles related to the enterprise reorganization as specified in the law as follows:

1. What is enterprise reorganization? The enterprise reorganization is a solution for an enterprise that encounters financial difficulties and cannot repay its debts. For example, a public relation organizer encounters difficulty due to insolvency resulted from the pandemic of the COVID-19 which causes serious impact to an operation of the company. Those impacts include the cancelation of product public relations by clients, repayment of the bank loan, payment of salary and wage to employees and workers and so on. These are financial difficulties that the company is encountering and may consider itself in the state of “being close to bankruptcy”.

An enterprise with the state of being close to bankruptcy refers to an enterprise that has not yet entered into bankruptcy but it suffers serious financial difficulties and is unable to repay its debts and may enter into bankruptcy in the near future.

When an enterprise is encountering serious financial difficulties or in the state of being close to bankruptcy, its creditors, workers or employees may submit a claim to a court for reorganization of such enterprise.

2. Why is enterprise reorganization required? The enterprise reorganization will (1) help a business or company owner to continue operating his/her business in accordance with a “reorganization plan” provided that such plan is approved by the creditors; and (2) provide protection of its assets from any legal process by the creditors so that the enterprise can continue operating its business in accordance with the reorganization plan. However, the reorganization will not protect its assets from the legal process in the following cases:

  1. Its assets placed as collateral may be devalued, ruined or damaged during the reorganization period. For example, a construction company (debtor), which is under the reorganization process, placed an excavator as collateral to secure loan it borrowed from a bank (creditor) and the bank deems that if this excavator continues to be used, it may be devalued. Therefore, the bank may request a court to consider and issue new conditions for the use of the collateral or otherwise based upon the court’s discretion;
  • Its assets placed as collateral are not important and necessary for the reorganization. For example, an enterprise that conducts wide range of businesses and places assets from one of its businesses as collateral to secure loan borrowed from a creditor and the creditor considers that such business is not related to the debtor’s main business such as selling products irrelevant to the main businesses. In such case, the creditor may request a court to consider and enforce some legal measures and processes (but depending on the court’s discretion).
