ການຟື້ນຟູກິດຈະການ ແລະ ການລົ້ມລະລາຍຂອງວິສາຫະກິດ

ໃນການດຳເນີນທຸລະກິດ ແລກປ່ຽນຊື້ຂາຍ ແລະ ບໍລິການ, ມີຫຼາຍປັດໃຈທີ່ມີຜົນກະທົບຕໍ່ສະພາບການດຳເນີນທຸລະກິດ ແລະ ຖານະການເງິນຂອງວິສາຫະກິດເຮັດໃຫ້ການດຳເນີນວິສາຫະກິດມີຄວາມຫຍຸ້ງຍາກ ໂດຍສະເພາະການຂາດສະພາບເງິນໝູນວຽນ ເພື່ອຊຸກໃຫ້ທຸລະກິດດຳເນີນຕໍ່ໄປ. ມີຫຼາຍກໍລະນີ ທີ່ຜູ້ດຳເນີນທຸລະກິດປະສົບກັບບັນຫາ ການເຂົ້າເຖິງສິນເຊື່ອຈາກສະຖາບັນການເງິນ ຫຼື ທະນາຄານເຮັດ ໃຫ້ການເກີດສະພາບຂາດເງິນໝູນວຽນ ແລະ ບໍ່ສາມາດຊໍາລະໜີ້ສິນໄດ້, ບາງກໍລະນີ ເຈົ້າຂອງກິດຈະການ ກໍຕົກຢູ່ໃນສະພາວະມີໜີ້ສິນຫຼາຍເກີນກວ່າຊັບສິນ (insolvent) ຈົນບໍ່ສາມາດດຳເນີນກິດຈະການຕໍ່ໄປໄດ້ອີກ ຈົນຕ້ອງກ້າວເຂົ້າສູ່ພາວະ “ການລົ້ມລະລາຍ” ຂອງວິສາຫະກິດນັ້ນໃນທີ່ສຸດ.

ໃນແງ່ຂອງກົນໄກເສດຖະກິດຕະຫຼາດແລ້ວ, ການປ່ອຍໃຫ້ພາກເອກະຊົນກໍຄືເຈົ້າຂອງກິດຈະການ ໄດ້ບໍລິຫານຈັດການທຸລະກິດຂອງຕົນຢ່າງອິດສະຫຼະ ແລະ ການລົ້ມລະລາຍກໍເປັນກົດເກນຢ່າງໜຶ່ງທີ່ສາມາດເກີດຂຶ້ນໄດ້ກັບວິສາຫະກິດ (ວິສາຫະກິດ ມີເກີດ-ສ້າງຕັ້ງຂຶ້ນ, ມີປ່ຽນແປງຈາກນ້ອຍຫາໃຫຍ່ ຫຼື ໃຫຍ່ຫານ້ອຍ ແລະ ມີສິ້ນສຸດໄດ້) ແຕ່ການປ່ອຍໃຫ້ທຸລະກິດລົ້ມລະລາຍ ກໍອາດຈະທົບຕໍ່ເສດຖະກິດ-ສັງຄົມໄດ້ ທັງໃນວົງກວ້າງ ແລະ ແຄບ ຂຶ້ນກັບຂະໜາດ ແລະ ລັກສະນະຂອງທຸລະກິດນັ້ນ. ດ້ວຍເຫດນີ້, ຢູ່ຫຼາຍປະເທດ ພາກລັດຖະບານຕ້ອງເຂົ້າແຊກແຊງ, ດັດສົມກົນໄກຕະຫຼາດໃຫ້ເໝາະສົມ ທັງໃນລະດັບນະໂຍບາຍ ແລະ ອອກກົດໝາຍ ເພື່ອສະກັດກັ້ນບໍ່ເຮັດໃຫ້ການລົ້ມລະລາຍສ້າງຜົນກະທົບຕໍ່ເສດຖະກິດ-ສັງຄົມໃນວົງກວ້າງຂວາງ. ໜຶ່ງໃນນະໂຍບາຍດັ່ງກ່າວແມ່ນການຊຸກຍູ້ໃຫ້ວິສາຫະກິດທີ່ປະສົບຄວາມຫຍຸ້ງຍາກໄດ້ຮັບການຟື້ນຟູກິດຈະການ ເຮັດໃຫ້ເຈົ້າຂອງວິສາຫະກິດທີ່ປະສົບຄວາມຫຍຸ້ງຍາກດັ່ງກ່ວ ໄດ້ສາມາດສືບຕໍ່ກິດຈະການໄດ້; ນອກຈາກນີ້ຍັງຕ້ອງປົກປ້ອງ ແລະ ຄຸ້ມຄອງເຈົ້າໜີ້ຂອງວິສາຫະກິດທີ່ປະສົບຄວາມຫຍຸ້ງຍາກ ແລະ ວິສາຫະກິດດັ່ງກ່າວ ຢ່າງຍຸຕິທຳ ບໍ່ວ່າຈະຢູ່ໃນກໍລະນີຂອງການຟື້ນຟູວິສາຫະກິດ ຫຼື ລົ້ມລະລາຍໃນທີ່ສຸດ.

ໃນປີ 2017 ໂດຍໄດ້ຮັບການສະໜັບສະໜູນຈາກທະນາຄານໂລກ, ກະຊວງຍຸຕິທຳໄດ້ເປັນເຈົ້າການ ແລະ ປະສານສົມທົບກັບກະຊວງອຸດສາຫະກຳ ແລະ ການຄ້າ ແລະ ສານປະຊາຊົນສູງສຸດ, ສ້າງຕັ້ງຄະນະປັບປຸງກົດໝາຍວ່າດ້ວຍການລົ້ມລະລາຍຂອງວິສາຫະກິດ, ຈົນເຖິງປີ 2018 ຈຶ່ງສຳເລັດເປັນຮ່າງກົດໝາຍສະບັບປັບປຸງສະບັບພື້ນຖານ ທີ່ນຳໄປທາບທາມຄຳຄິດຄຳເຫັນຈາກສັງຄົມ ກໍຄືປະຊາຊົນທົ່ວໄປ ແລະ ຈາກພາກເອກະຊົນໂດຍສະເພາະ. ໃນວັນທີ 26 ພະຈິກ 2019 ທີ່ຜ່ານມາ, ຮ່າງກົດໝາຍປັບປຸງດັ່ງກ່າວ ໄດ້ຖືກນຳສະເໜີຕໍ່ສະພາແຫ່ງຊາດເພື່ອພິຈາລະນາຮັບຮອງ ໃນກອງປະຊຸມ ກອງປະຊຸມສະໄໝສາມັນ ເທື່ອທີ 8 ຂອງສະພາແຫ່ງຊາດ ຊຸດທີ VIII.

ໝາຍກົດວ່າດ້ວຍການລົ້ມລະລາຍຂອງວິສາຫະກິດໄດ້ຖືກປ່ຽນຊື່ມາເປັນກົດໝາຍວ່າດ້ວຍການຟື້ນຟູ ແລະ ການລົ້ມລະລາຍຂອງວິສາຫະກິດ ເພື່ອແຍກໃຫ້ເຫັນຢ່າງຈະແຈ້ງແຕ່ຫົວທີ ແລະ ເຂົ້າໃຈໄດ້ວ່າໃນຂະບວນການລົ້ມລະລາຍຂອງວິສາຫະກິດ ມີຂະບວນການຟື້ນຟູວິສາຫະກິດ; ກົດໝາຍວ່າດ້ວຍການຟື້ນຟູ ແລະ ລົ້ມລະລາຍຂອງວິສາຫະກິດ ປະກອບດ້ວຍ 11 ພາກ ແລະ 103 ​ມາດຕາ ຈາກ 9 ໝວດ ແລະ 56 ມາດຕາ ນໍາ. ໃນນີ້ຍັງໄດ້ປັບປຸງ 35 ມາດຕາ ຂອງກົດໝາຍປັດຈຸບັນ ແລະ ເພີ່ມໃໝ່ 68 ມາດຕາ. ກົດໝາຍວ່າດ້ວຍການຟື້ນຟູ ແລະ ລົ້ມລະລາຍຂອງວິສາຫະກິດ ໄດ້ຖືກຮັບຮອງ ດ້ວຍມະຕິເຫັນດີຈາກສະມາຊິກສະພາແຫ່ງຊາດ 101 ສຽງ ໃນວັນດຽວກັນ. ສະບັບໜ້າ ຂ້າພະເຈົ້າຈະນຳສະເໜີເນື້ອໃນໂດຍຫຍໍ້ ຂອງກົດໝາຍວ່າກ່າວ ແລະ ບາງບັນຫາທີ່ຕ້ອງເອົາໃຈໃສ່. ຂໍຂອບໃຈທີ່ຕິດ ຕາມ.

Restructuring of Business and Bankruptcy of Enterprise

In operating sale and service business, there are various factors that affect business operation and financial position of an enterprise causing difficulties to the enterprise operation, such as shortage of working capital to carry on the business. In some cases, the business operators face difficulty in obtaining credits from financial institutions or banks resulting in the business lacks of working capital and unable to repay debts. In other cases, the business operators are insolvent which make them unable to operate their businesses and eventually enter into “bankruptcy.”

In terms of market mechanism, the act of allowing a private company or a business owner to independently manage his/her business and to handle bankruptcy are common in business operation (the business is established, changed from small to big and can be terminated) but allowing the business to be bankrupt can cause major and minor socioeconomic impacts depending on size and character of such business. Consequently, in many countries, governments have to intervene, adjust market mechanism to be appropriate by issuing policies and laws to prevent bankruptcy that causes major socioeconomic impacts. One of the policies is to support the enterprise encountering difficulties to be restructured so that the business operator can recover his/her business. In addition, the enterprise creditors must be impartially protected and managed during both the restructuring process or bankruptcy.

Lao PDR have had the Law on Enterprise Bankruptcy since 1994 but societies especially the private sector did not know and understand mechanisms and methods in addressing various problems in case the business enters into insolvency; and the law must be enhanced and clarified in terms of methods and processes in bankruptcy litigation and protection of creditors and debtors. Due to unawareness of such methods and processes, the law has not been implemented in accordance with its actual intent.

In 2017, with the support of World Bank, the Ministry of Justice led and coordinated with the Ministry of Industry and Commerce and the People’s Supreme Court to establish a committee to amend the bankruptcy law. Until 2018, the draft law was completed and the government sought for comments from people and private sector. On 26 November 2019, the draft law was proposed to the National Assembly for consideration and adoption in the Eighth Ordinary Session of the Lao National Assembly’s Eight Legislature.

The Law on Enterprise Bankruptcy was renamed to the Law on Enterprise Restructuring and Bankruptcy in order to be clear that there is a restructuring process in addition to bankruptcy. The Law on Enterprise Restructuring and Bankruptcy has 11 parts, 9 chapters and 103 articles in which number, there are 35 articles revised from existing articles of the Law on Enterprise Bankruptcy and 68 new articles. The law was adopted by 101-vote resolution of the members of the National Assembly on the same day.
